    Authority

    A Conference of AMI is the highest authority of AMI and each member shall be entitled to send one or more delegates and to exercise voting power in accordance with the provisions of Rule 10 of the AMI Constitution.

    AMI shall meet in Conference at a time and place to be determined by the Board of Directors.

    Notice of each Conference, stating the time, place, and purpose of the Conference, shall be furnished in writing and mailed to each member at least 30 days in advance of the Conference date.

    Ordinary business

    The ordinary business to be transacted at a Conference shall be:

    • to receive minutes of the last Conference and, if appropriate, take any action thereon;
    • to receive the report of the Board of Directors on the work of AMI and, if appropriate, take any action thereon;
    • to receive the audited accounts of AMI;
    • to consider proposals submitted by the Board of Directors and give decisions thereon;
    • to consider any other matters which the Board of Directors or a Conference by resolution deem to be appropriate matters for discussion; and
    • to elect persons to serve on the Board of Directors.
    Voting and quorum

    Each member shall be entitled to one or more votes in accordance with the following scale of membership fees which have been paid by such member in the current financial year of AMI:

    Membership fee and votes
    up to and including £1,000
    1
    more than £1,000 and up to £2,500
    2
    more than £2,500 and up to £5,000
    3
    more than £5,000 and up to £7,500
    4
    more than £7,500 and up to £10,000
    5

    For the purpose of conducting a vote at a Conference, a quorum shall exist if more than 50 per cent of the total voting rights of AMI are represented in Conference.

    Proxy voting by members not present at the conference is allowable.
